Agreement to Terms

Our services may include, but are not limited to:

- Compliance advisory services
No Guaranteed Results
While we strive to deliver excellent results, we do not guarantee specific outcomes from our services. Email marketing performance depends on numerous factors outside our control, including but not limited to:
- Quality and engagement of your email list
- Your product or service offerings
- Market conditions and competition
- Email service provider policies and changes
- Inbox provider algorithm updates
- Regulatory changes
Past performance or case studies do not guarantee future results.
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information as requested
- Maintain proper consent and opt-in records for your email lists
- Comply with all applicable laws and regulations, including GDPR, CAN-SPAM, and other relevant email marketing laws
- Obtain necessary licenses and permissions for your business activities
- Respond to our communications in a timely manner
- Pay for services according to agreed-upon terms
- Not use our services for illegal activities or spam
Intellectual Property
All content on the ZoomInbox website, including text, graphics, logos, and software, is the property of ZoomInbox or its content suppliers and is protected by intellectual property laws.
Work product created specifically for clients as part of our services will be governed by individual client agreements.
Payment Terms
Payment terms for services will be specified in individual client agreements. Unless otherwise stated:
- Invoices are due upon receipt unless otherwise agreed
- Late payments may incur additional fees
- Services may be suspended for non-payment
Termination
Either party may terminate services according to the terms specified in individual client agreements. Upon termination:
- Outstanding payments become immediately due
- Access to any shared systems or tools will be revoked
- Confidential information must be returned or destroyed
Limitation of Liability
To the maximum extent permitted by law, ZoomInbox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.
Our total liability for any claims arising from our services shall not exceed the amounts paid by you for such services in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless ZoomInbox, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives termination of services.
Governing Law
These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
